OF JACKSON COUNTY, MS

1. The name of the organization shall be Magnolia Classic Cruisers Association of Jackson County, MS.
Mission Statement (Objectives)
Mission Statement (Objectives):
Said organization is organized exclusively for charitable, religious, educational, and/or scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause thereof. No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of the Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
Create good fellowship and sportsmanship among all members of the club.
Provide an atmosphere that promotes opportunities for members to participate in meetings, cruise-ins, car shows and parades.
Promote interest in the antique and classic car hobbies.
Anyone interested in special interest automobiles is eligible for membership.
By definition a member is a single person registered with a single membership or each person of a registered couple.
All members must hold a valid drivers license and show proof of insurance on automobile(s).
Prospective members will be required to provide all information requested on the application form.
Prospective members will be subject to an interview with a membership committee made up of members of the Board.
New members should attend the next scheduled regular meeting and pay initiation fee and yearly dues by the end of that meeting for the membership to be finalized.
The membership ceiling is unlimited.
Charter members will be members that were present and joined the club at the planning meeting of MCC.
Each registered member will have one vote.
All members are expected to attend at least fifty percent (50%) of all regular business meetings.
Regular business meetings are scheduled to be held on the first Monday of each month.
1. The required initiation fee is $25.00 and yearly dues are $20.00 per single/ couple.
2. Membership year will run from January 1 to December 31.
3. For new members the yearly dues will be prorated on a quarterly basis.
4. Initiation fee and/or dues can be reduced or increased by a majority vote of membership base without modification of these by-laws. That change will be contained in the written meeting minutes and will be held as written confirmation.
5. Approved changes in fees and dues will be posted on the public section of the club website.
6. Annual dues should be paid by the first meeting of the year.
7. Dues will be considered delinquent after 60 days (March 1st).
8. Any member that fails to renew by March 1st will be notified and removed from the membership role.
Duties of Officers, Board Members and Club Officials
There shall be seven elected officers (which will comprise the Executive Council) and five elected Board of Directors. Officers of MCC shall be President, Vice President, Secretary, Treasurer, Historian, Sergeant at Arms and Website Official. Duties shall be as follows:
President shall be responsible for conducting all meetings of MCC, appointing Chairpersons for Committees, and act as representative for the club in the Community. The President shall also be responsible for installing new officers, conducting all membership and initiation ceremonies, serve as Chairman of the Executive Council, and sign all club checks. The President shall remain in advisory capacity for one year after his/her term, providing they remain active in the club. MCC will maintain a local Post Office Box which the President will be responsible.
Vice President shall preside in the absence of the President. Countersign all club checks in President’s absence. Vice President will serve as Chairperson to the Board, and will not vote except to break a tie vote.
Secretary shall be responsible for preparing the club minutes of each Meeting. Preparing and maintaining accurate list of members –Address, Phone numbers and email address.
Treasurer shall be responsible for accounting for all money of the MCC, shall issue checks for expenses after being approved, depositing all money in the account and preparing a monthly treasurer report, and countersign all MCC checks.
Sergeant At Arms shall be responsible for maintaining control during Meetings, and at any other functions.
Historian shall maintain MCC scrapbook with photographs and a written account of club events.
Website Official shall oversee official website for MCC consisting of updating MCC car photos, current Car Show Posters, and Events.
Board of Directors:
The Board of Directors is empowered to make decisions concerning MCC, and then bring before MCC membership for approval. Duties shall be as follows:
a. Select charity in Jan/Feb for the year to be advertised for fund raising and car show events.
b. Prepare estimated/itemized budget for the year.
c. Assist officers with any club issues.
d. Work to resolve any issues that may arise between members & officers.
e. Assure that all club insurance, licenses, state and federal registrations are in order and current.
f. Responsible for execution of the by-laws and policies approved by the membership.
g. Request for fundraising or charity events shall be submitted to the Board of Directors in writing 30 days prior to the event. Once reviewed a recommendation from the Board will be submitted to general membership at the next regular business meeting.
h. Act as membership committee.
The following will not act in the capacity of an Officer or Board Member but only in the capacity listed:
Cruise-In Chairperson will be selected during the January regular club meeting to coordinate the planning and execution of monthly Cruise-Ins. Will not be a voting member of the Executive council, but will attend Executive Council meetings as they pertain to the Cruise In activities. Will establish committees and assign duties to insure that each club member is actively involved in the Cruise-In. They will also be responsible for organizing special events such as cookouts, weekend cruising activities and meeting times/places for caravans to other clubs car shows.
Car Show Chairperson will be selected during the January regular club meeting to coordinate the planning and execution of the annual Car Show. Will not be a voting member of the Executive council, but will attend Executive Council meetings as they pertain to the car show activities. Will establish committees and assign duties to insure that each club member is actively involved in the car show.
Election/Selection of Officers, Board Members and Club Officials
Nominations and Elections:
Nominations for officers shall take place at the first business meeting in October.
Elections for officers shall take place at the first business meeting in November.
Nominations and elections for Board members shall take place immediately following the announcement of the newly elected officers at the November meeting.
The term of office for all new Officers and Board of Directors shall be one year and shall begin at the first business meeting in January.
In the event that the President should vacate office during his/her term, the Vice President shall serve as President for the remainder of that term of office.
Any nominee for any office or appointee to a committee shall be an active member in good standing.
All nominees for any office must be present for nominations (unless extenuating circumstances preclude their attendance). If such a case should arise, it should be known in advance that it was that person’s desire to be nominated.
Nominations must be made from the floor by a member and seconded by a member.
The elections shall be subject to a majority vote.
Sergeant-At-Arms will supervise the election activities and select a committee of three (3) members to count the votes.
If a member of the Executive Council (except for President) for some reason should have to decline their position, a special election shall be held at the next regular business meeting to fill that vacancy. This election shall be conducted according to the rules set forth in the proceeding Sections of this Article.
Some functions and duties shall require the volunteering or appointment of key members.
These positions are inclusive of, but not limited to, the following:
a. Car Show Chairperson/Committee
b. Cruise In Chairperson/Committee
In the event that one of these positions should require filling and no volunteers come forward, the President, at his/her discretion can appoint a member to fill the position. Any member (in good standing) can be considered for these positions and should if requested accept the appointment in an agreeable manner.
Moving the Club
The Magnolia Classic Cruisers Association of Jackson County, MS cannot be moved out of Jackson County, MS without the majority approval of all remaining charter members.
These original charter members are James Adams, Vivian Adams, Jerome (Joe) Cuevas, Carol Cuevas, Billy Crocker, Jeanene Crocker, L.C. (Red) Ehlers, Shari Ehlers, Don Farris, Kala Farris, Bob Hand, Betty Hand, Chuck McLendon, Von McLendon, Glenn Lynd, Marie Lynd, Jimmy Lockhart, Edie Lockhart, Jim O’Brien, Barbara O’Brien, Ron Thornton, Kristy Thornton.
Rules and Regulations
Rules and regulations for the MCC shall be adopted as may be necessary for the proper conduct of its work. Any such rules and regulations shall be considered a part of these by-laws
Procedures for Disposing of MCC Property
Upon dissolution of the club, all proceeds from any MCC properties that are sold shall be donated to selected charities as approved by the membership.
Other than for purposes of dissolution of the club, all proceeds from any MCC properties that are sold shall be deposited in club treasury.
Any properties of the club that are to be sold shall be first offered to the members (in good standing) of the club. All items shall be sold by sealed bid with minimum bid established for each item.
1. Monthly meeting will be held at 6:30pm unless otherwise specified.
2. Executive Council shall make and enforce all decision not requiring a vote by the entire membership.
3. Executive Council may, between meetings, and without prior approval of the voting membership, appropriate the expenditure of monies on the behalf of the club, not to exceed the sum of $250.00.
4. The President presides over each meeting, Robert Rules of Order will be observed.
5. Each member whether at an outing or at a regular meeting, will be expected to conduct themselves in an adult like manner.
6. Members are encouraged to conform to the constitution and by-laws. Any violation will be brought before the Executive Council, reviewed and recommendations be presented to membership for action. 50% vote of membership present, plus one, shall be required.
7. Members will be expected to have respect for other people’s property.
8. All members will be expected to participate in club activities. All attending members are required to work the cruise-in.
9. All members will be expected to help with club activities and should respond to the request in an agreeable manner.
